Terms of Service & End User License Agreement

1. INTRODUCTION AND ACCEPTANCE

Welcome to SlotNearMe ("App," "Service," "we," "us," or "our"), a mobile application owned and operated by Undivided Products LLC. These Terms of Service and End User License Agreement (collectively, "Terms" or "Agreement") constitute a legally binding agreement between you ("you," "your," or "User") and Undivided Products LLC.

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, do not download, install, or use the App.

These Terms apply to all users of the App, including users who contribute content, information, or other materials.

2. ELIGIBILITY

Age Requirement: You must be at least 21 years of age to use this App. By using the App, you represent and warrant that you are at least 21 years old. If you are under 21 years of age, you are not permitted to use the App.

Legal Compliance: You represent that your use of the App complies with all applicable laws and regulations in your jurisdiction. You are solely responsible for determining whether accessing information about slot machine locations is legal in your area.

Account Accuracy: If you create an account, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

3. LICENSE GRANT

3.1 Grant of License

Subject to your compliance with these Terms, Undivided Products LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on mobile devices that you own or control, solely for your personal, non-commercial purposes.

3.2 License Restrictions

You agree NOT to:

  • Copy, modify, or distribute the App or any portion thereof
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
  • Rent, lease, lend, sell, sublicense, or transfer the App to any third party
  • Remove, alter, or obscure any proprietary notices on the App
  • Use the App for any commercial purpose without our express written consent
  • Use the App in any way that violates applicable laws or regulations
  • Use automated scripts, bots, or other means to access or scrape the App
  • Interfere with or disrupt the integrity or performance of the App

3.3 Reservation of Rights

All rights not expressly granted to you are reserved by Undivided Products LLC. The App is licensed, not sold, to you.

4. GAMBLING DISCLAIMER

IMPORTANT - PLEASE READ CAREFULLY:

  • SlotNearMe is a LOCATION-FINDING, SESSION TRACKING, AND INFORMATIONAL TOOL ONLY.
  • The App does NOT facilitate, promote, enable, or encourage gambling.
  • The App does NOT process any gambling transactions, wagers, or bets.
  • The App does NOT operate any slot machines, video gaming terminals, or gaming equipment.
  • The App is NOT affiliated with, endorsed by, or connected to any casinos, gaming organizations, gambling platforms, or gaming regulators.
  • Undivided Products LLC is NOT a gambling operator, gaming licensee, or gaming affiliate.
  • The App is intended solely for personal, informational use to help users locate establishments that may contain slot machines and track their own gambling activity.
  • Session tracking, P&L calculations, and performance statistics are based solely on data you enter. We do not verify, guarantee, or endorse the accuracy of user-entered data.

Your Responsibility: Any decision to gamble is made solely by you and is subject to the laws of your jurisdiction. We do not guarantee the accuracy, availability, or legality of any gaming establishment information displayed in the App. You are solely responsible for verifying that gambling is legal in your jurisdiction and that you meet all eligibility requirements. The session tracking feature is for personal record-keeping only and should not be used for tax, legal, or financial reporting purposes without independent verification.

5. USER CONTENT AND CONDUCT

5.1 User-Generated Content

The App may allow you to submit, post, or share content including but not limited to reviews, ratings, comments, photos, and other materials ("User Content"). You retain ownership of your User Content, but by submitting it, you grant Undivided Products LLC a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the App.

5.2 Prohibited Content and Conduct

Zero Tolerance Policy: We have zero tolerance for objectionable content or abusive behavior. You agree NOT to post, transmit, or share any content that:

  • Is unlawful, threatening, abusive, harassing, defamatory, libelous, or invasive of another's privacy
  • Is vulgar, obscene, pornographic, or sexually explicit
  • Is hateful, discriminatory, or promotes violence against any group or individual
  • Encourages or promotes fraud, illegal activity, or gambling addiction
  • Contains false or misleading information
  • Infringes on any patent, trademark, copyright, or other proprietary rights
  • Contains viruses, malware, or other harmful code
  • Impersonates any person or entity
  • Violates any applicable law or regulation
  • Advertises or promotes commercial products or services without authorization

5.3 Content Moderation

We reserve the right, but have no obligation, to monitor, review, edit, or remove any User Content at our sole discretion. We may remove content, suspend accounts, or permanently ban users who violate these Terms without prior notice.

5.4 Reporting and Blocking

Users may report inappropriate content and block other users to manage their experience. You may delete your own posts or comments at any time.

6. LOCATION SERVICES

The App uses your device's location services to suggest nearby slot machine locations. Location access is opt-in and requires your explicit consent. You may enable or disable location services at any time through your device settings. Please note that disabling location services will significantly limit the App's core functionality.

7. SUBSCRIPTIONS AND PREMIUM FEATURES

7.1 Free and Premium Tiers

SlotNearMe offers both free and premium tiers:

  • Free Tier: Includes unlimited session tracking, basic stats dashboard, 5 map views per month, and access to the last 10 sessions.
  • Premium Tier ($2.99/month or $24.99/year): Includes everything in Free plus unlimited map views, full session history with search, advanced analytics, data export (CSV), ad-free experience, and route optimization.

7.2 Credit System

Free tier users have access to a credit system for certain gated features:

  • Map views consume credits (5 free views per month)
  • Route optimization requires Premium subscription
  • Credits reset monthly and do not roll over

7.3 Billing and Renewal

  • Subscriptions are managed through your Apple ID (iOS) or Google Play account (Android) via RevenueCat
  • Payment will be charged to your account upon confirmation of purchase
  • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period
  • You may manage and cancel subscriptions through your device's account settings or within the App's subscription management screen
  • If a billing issue is detected, your premium access may be suspended until resolved

7.4 Refunds

All purchases are processed by the applicable app store (Apple App Store or Google Play Store). Refund requests must be submitted directly to Apple or Google in accordance with their respective refund policies.

8. INTELLECTUAL PROPERTY

8.1 Our Intellectual Property

The App, including its design, graphics, text, images, logos, button icons, software, and all other content (excluding User Content), is the property of Undivided Products LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

8.2 Trademarks

"Slots Near Me," the Slots Near Me logo, and other marks are trademarks of Undivided Products LLC. You may not use these marks without our prior written permission.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the App ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation to you.

9. THIRD-PARTY SERVICES AND LINKS

The App may contain links to third-party websites, services, or applications, including mapping services, casino websites, and other resources. We are not responsible for the content, accuracy, or practices of these third parties. Your interactions with third-party services are solely between you and the third party. We strongly advise you to review the terms and privacy policies of any third-party services you access.

10. DISCLAIMERS

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, UNDIVIDED PRODUCTS LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED
  • WARRANTIES THAT THE APP WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • WARRANTIES REGARDING THE LEGALITY OR AVAILABILITY OF ANY GAMING ESTABLISHMENTS

We do not guarantee the accuracy of slot machine location information, operating hours, availability, or any other information displayed in the App. Gaming establishments may close, relocate, or change their offerings without notice.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNDIVIDED PRODUCTS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage
  • Gambling losses or financial harm
  • Emotional distress or mental anguish
  • Any other damages arising from your use of or inability to use the App

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Undivided Products LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the App
  • Your violation of these Terms
  • Your User Content
  • Your violation of any rights of another party
  • Your gambling activities or losses
  • Your violation of any applicable law or regulation

13. TERMINATION

13.1 Termination by You

You may terminate this Agreement at any time by deleting the App from your device and discontinuing use. If you have an account, you may also request account deletion by contacting us.

13.2 Termination by Us

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice, for any reason including but not limited to:

  • Violation of these Terms
  • Harmful, abusive, or fraudulent behavior
  • Abuse of the App's features or systems
  • Legal or regulatory requirements
  • Discontinuation of the App or any of its features

13.3 Effect of Termination

Upon termination, your license to use the App will immediately cease. Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

14. DISPUTE RESOLUTION

14.1 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at privacy@slotnearme.com. We will attempt to resolve the dispute within 60 days.

14.2 Binding Arbitration

If we cannot resolve the dispute informally, you and Undivided Products LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in the State of Illinois. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than arbitration, you and Undivided Products LLC each waive any right to a jury trial.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

15. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. To the extent that arbitration is not applicable, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Illinois.

16. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

  • Posting the updated Terms within the App
  • Updating the "Last Updated" date at the top of this document
  • Sending you an email or push notification (if you have provided contact information)

Your continued use of the App following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the App.

17. GENERAL PROVISIONS

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Undivided Products LLC regarding the App.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
